STANDARD TERMS AND CONDITIONS OF SALE AND SERVICE
These Standard Terms and Conditions apply to purchases, sales, repair services, and related transactions between StradEvents LLC and its customers unless otherwise agreed in writing.
General Terms
StradEvents LLC buys, sells, refurbishes, repairs, and resells professional AV equipment. Many items sold by StradEvents are used, refurbished, open-box, new-old-stock, consigned, or otherwise previously owned equipment.
By purchasing equipment or services from StradEvents LLC, the customer agrees to these terms unless different terms are specifically agreed to in writing.
Payment Terms
All invoices must be paid in full before equipment is released, shipped, delivered, or made available for pickup unless otherwise agreed in writing.
StradEvents LLC does not offer standard net payment terms.
Accepted payment methods may include ACH, wire transfer, Zelle, cash, credit card, and PayPal. For larger transactions, ACH or wire transfer is preferred.
Unpaid invoices may be canceled after 7 days, and the related equipment may be released for sale to other customers.
Deposits may be accepted to hold equipment. Unless otherwise agreed in writing, deposits are non-refundable.
Taxes, Duties, and Import Fees
Sales tax may be charged where required by law. Tax collection requirements may vary by state and may change as StradEvents LLC’s sales activity changes.
Customers claiming resale or tax-exempt status are responsible for providing a valid exemption certificate before purchase.
For out-of-state and international transactions, the customer is responsible for any applicable use tax, VAT, customs duties, brokerage fees, import fees, tariffs, or similar charges unless otherwise agreed in writing.
Equipment Condition and Descriptions
StradEvents LLC sells a mix of used, refurbished, open-box, new-old-stock, and new equipment. Used equipment may show normal cosmetic wear from prior professional use.
StradEvents LLC makes reasonable efforts to describe item condition accurately, including known functional issues, cosmetic condition, included accessories, test results, hour readings, and other relevant details.
Photos, listed condition, hour readings, test notes, and written descriptions form part of the item description. Serial numbers may be provided upon request.
Hour readings are recorded at the time of inspection and testing. Actual delivered readings may vary slightly due to additional testing, inspection, certification, or handling before shipment, generally within approximately 10 hours unless otherwise stated.
Known defects, disclosed limitations, cosmetic wear, and conditions described before sale are not covered as warranty defects.
Six-Month Functional Warranty
Unless an item is specifically sold as “as-is,” “for parts,” “repair,” “salvage,” or similar, StradEvents LLC provides a 6-month functional warranty on equipment sold.
This warranty means the item will function materially as described at the time of sale.
The warranty applies to used, refurbished, open-box, new-old-stock, consigned, and new equipment sold by StradEvents LLC, including projectors, lenses, frames, rigging, cases, remotes, power cords, and included non-consumable accessories.
The warranty does not cover conditions or defects that were disclosed before sale.
Consumables and Wear Items
Consumables and wear items are limited in coverage.
Consumables are warrantied only to the stated or represented remaining life, usage level, or hour condition at the time of sale. Unless otherwise stated, StradEvents LLC provides up to a 1,000-hour warranty on applicable consumable items, excluding replaceable lamps and lamp assemblies.
Replaceable lamps, lamp assemblies, filters, batteries, bulbs, wear parts, cosmetic items, and other ordinary consumables are not covered under the standard 6-month warranty unless specifically stated in writing.
Laser light-source degradation, brightness reduction, lamp aging, and other normal wear characteristics are covered only to the extent that the equipment fails to function materially as described at the time of sale.
Warranty Remedies
If a covered item fails within the warranty period, StradEvents LLC may, at its discretion, resolve the issue by repair, replacement, substitution with a comparable functional equivalent, refund, or store credit.
StradEvents LLC will generally attempt repair or replacement first when practical. If an exact replacement is not available, StradEvents LLC may offer a comparable functional substitute.
If repair or replacement is not practical, any refund will be limited to the item purchase price only. Original shipping charges, taxes, duties, customs fees, installation labor, rental replacement costs, lost revenue, event losses, business interruption, and other indirect or consequential costs are not refundable.
Warranty Claim Process
Customers must contact StradEvents LLC and receive written authorization before returning any item for warranty evaluation.
Unauthorized returns may be refused and do not obligate StradEvents LLC to cover shipping costs.
For approved warranty evaluations, StradEvents LLC will cover reasonable inbound return shipping related to the warranty claim. After repair, replacement, or evaluation, return shipping back to the customer is the customer’s responsibility unless otherwise agreed in writing.
Customers must provide photos, a description of the issue, and any relevant supporting information so the claim can be assessed.
Returned items must be complete, unmodified, and in materially the same condition as received, including all included accessories, cases, cables, lenses, remotes, frames, or other components.
Shipping, Delivery, and Risk of Loss
Shipping, freight, duties, customs, brokerage, accessorial charges, and related logistics costs are the customer’s responsibility unless otherwise agreed in writing.
Risk of loss transfers to the customer upon delivery.
For freight deliveries, the customer is responsible for inspecting the shipment before signing the delivery receipt or bill of lading. If visible freight damage is present, the customer should refuse delivery or clearly note the damage on the carrier paperwork before signing.
Customers must provide photos of damaged packaging and equipment as part of any shipping damage claim.
Failure to inspect freight upon delivery or failure to note visible damage may limit the ability to pursue a freight claim.
Repair and Service Terms
Repair and service work performed by StradEvents LLC is covered by the same 6-month functional warranty unless otherwise agreed in writing.
Diagnostic fees are non-refundable, but may be applied toward approved repair work at StradEvents LLC’s discretion.
Repair invoices must be paid before repaired equipment is released, shipped, or made available for pickup.
If equipment is left with StradEvents LLC and a related repair, diagnostic, storage, or service invoice remains unpaid for more than 6 months, the equipment may be considered abandoned and may become the property of StradEvents LLC.
Limitation of Liability
StradEvents LLC’s liability for any transaction is limited to the amount paid for the specific item or service giving rise to the claim.
StradEvents LLC is not liable for indirect, incidental, special, consequential, or business-related damages, including lost revenue, missed events, replacement rentals, labor costs, installation costs, travel costs, downtime, business interruption, or other third-party claims.
Governing Law and Venue
These terms are governed by the laws of the State of Wisconsin.
Any dispute arising from a transaction with StradEvents LLC shall be handled in the appropriate state or federal court located in Milwaukee County, Wisconsin, unless otherwise required by law.
Separate Terms for Buybacks and Consignment
These terms apply to customer sales and repair services only.
Equipment buybacks, consignment arrangements, managed resale programs, seller agreements, and partner resale programs are governed by separate written terms.
